How do 'unauthorized companion guides' to famous books get away with copyright infringement?

Simply writing a book that describes copyrighted material is covered by fair use, and as such doesn't require authorization. Fair use will also let you quote copyrighted material to a certain extent if such quotes are part of valid commentary/criticism and the like.
